Call for Softball SA Board Directors

Softball SA is the state’s governing body for the sport of softball and related participation programs. As a not-for-profit organisation with a membership base of approximately 2,600 participants, we are committed to growing the game and ensuring quality governance, transparency, and sustainability across our operations and affiliated associations.
To complement the current skills and expertise of our Board, Softball SA is seeking expressions of interest from suitably qualified and experienced individuals for the role of Director of Legal, and Director of Finance, as well as 2 further Board Members.
Key Information:
- These are voluntary, Board-appointed positions
- The Board meets bi-monthly in person and online every other month
- Positions are appointed under Softball SA’s Constitution
- Candidates should demonstrate a commitment to good governance and the growth of sport in South Australia
- Previous board experience is desirable but not essential
Roles and Responsibilities:
The roles and responsibilities of a Board member includes but is not limited to:
- Actively undertake the work of the Board
- Attend and participate at board meetings, having read and considered the relevant papers
- Become knowledgeable about issues in sport and softball and the business and regulatory environment, without becoming involved in the day to day management
- Be supportive of the public events at which Board Member presence is desirable
- Respect the confidentiality of Board meetings and proceedings
- Identify and declare the nature and extent where there is any possible conflicts of interest and remove themselves from any relevant decision process
- Read, understand and comply with the Code of Conduct for Board Members
Additionally, the Board as a whole has group responsibility to govern and provide oversight to the operations of Softball SA.

BOARD APPOINTED DIRECTOR POSITION – FINANCE
The Finance Director will support the Board in financial oversight, budgeting, and risk management, ensuring financial integrity and sustainability of Softball SA.
Responsibilities include:
- Reviewing financial reports and budgets
- Supporting risk and audit functions
- Advising on funding, investment, and financial compliance strategies
Ideal qualifications and experience:
- CPA/CA qualified or relevant finance/accounting designation
- Financial management experience, preferably in the not-for-profit or sporting sector
- Understanding of financial reporting obligations for incorporated associations

BOARD APPOINTED DIRECTOR POSITION – LEGAL
The Legal Director will provide oversight and guidance in all areas of legal risk and compliance for the board of Softball SA.
Responsibilities Include:
- Governance advice relating to constitutions, policies, and by-laws
- Risk and regulatory compliance
- Contracts and intellectual property
- Dispute resolution support
Ideal qualifications and experience:
- A legal qualification and current (or recent) practising certificate
- Experience in corporate governance or not-for-profit sector law (preferred but not essential)
- Understanding of legal frameworks impacting community or sporting organisations

Nominations:
Nominations are sought from persons from both within and outside of the Softball community who are interested and willing to contribute to the Board of Softball SA as an Elected Director.
